Independent application for registration of an entity in the Trade Register


Note: These instructions are intended for natural persons and for authorized persons of legal entities.

Procedure for obtaining access to e-submission to the Trade Register (Independent Submission)

The procedure for obtaining access to e-submission to the Trade Register for the role of independent submission includes the following steps:

-Creating a User Account

To log into the system, you must first create a user account. You can register at the following link:

-Obtaining a Valid Certificate

You must obtain a valid digital certificate acceptable to CRRNM.

- Request for Access to e-Submission to the Trade Register

After successful registration in the system, you need to attach a valid certificate and request access for e-submission to the Trade Register.
Once the request is submitted, you will receive a notification regarding the approval of access at e-podnesisam@crm.org.mk.
If the request is properly completed, access will be approved; otherwise, it will be rejected with an appropriate explanation.

- Who Can Independently Establish a New Legal Entity?

According to Articles 34, 35, and 36 of the Law on One-Stop-Shop System and on the Keeping of the Trade Register and the Register of Other Legal Entities, any natural person who owns a valid digital certificate can, independently (without appointing a registration agent), submit an application for registration of a new legal entity (LLC, sole proprietorship, or limited partnership) in the Trade Register through the e-submission system.
 Through this E- registration system, a natural person can also — voluntarily and electronically — submit a VAT registration application to the Public Revenue Office, as well as an employment registration to the Employment  Service Agency of North Macedonia, for registering the first employees of the entity (LLC, sole proprietor, or limited partnership).

In Accordance with the Law on the Prevention of Money Laundering and Financing of Terrorism, after the registration of a legal entity, there is a legal obligation to register the beneficial owner in the Register of Beneficial Owners. The registration is performed electronically through the application available on the register’s website.
This service is free of charge if the registration is completed within the legally prescribed period — within 15 days from the date of registration of the entity in the Trade Register.

Who Can Make Changes to the Legal Entity?

- If there is an amendment in the registered data, it is the legal obligation of the company, i.e., the manager, to report the change to the official  Single Trade Register.
To register such a change, the company adopts appropriate decisions and amendments to its founding documents. The application for registration of changes is submitted by the legal representative/manager, and all documents must be certified or electronically signed by the relevant participants in the process.
 

- Which amendments can be submitted Independently?

When submitting an application independently in electronic form, all attached documents serving as evidence must be electronically signed by the participants.
If a document is issued by a public institution, authority, or another legal entity, it must be signed by an authorized person of that entity. Through the registration system, the following types of changes can be independently registered:
 

-Change of address or e-mail
-Registration of a branch office
-Deletion of a branch office
-Change in working hours
-Change of headquarters
-Change of manager
-Announcement of liquidation

This service enables the user to submit an application for independent registration of an entity (without appointing  a registration agent), depending on how the user would like to submit the application for different types of legal entities provided by the law as follows:

Registration of an entity (LLC, SMLLC, Sole Proprietor, JSC, Associations, Foundations, etc.) in the Trade Registry and the Registry of Other Legal Entities is an integrated service that means registration of the entity in the relevant register, as well as:
