Application for registration of an entity in the Trade Registry and the Registry of Other Legal Entities( Instructions for Registration Agent

 

Note: These instructions are intended for Registration Agents. If you are NOT a Registration Agent, please look at the relevant instructions for the following services "Registration of an Entity through a Registration Agent" or "Independent Registration of Entity" (depending on how the user would like to submit the application). 

This service enables Registration Agents to submit an application electronically via the Internet, without visiting the CRRNM Offices, depending on how the user would like to submit the application for different types of legal entities. For electronic submission, it is necessary to obtain a digital certificate. A list with all issuers of  digital certificate which is acceptable to CRRNM may be found at the following location.

 Submission through a registration agent according to the laws is possible only for certain types of entities and for a certain type of submission, according to the authorizations that the registration agent has.

Registration of an entity (LLC, SMLLC, Sole Proprietor, Joint -Stock Company, Associations, Foundations, etc.) in the Trade Registry and the Registry of Other Legal Entities is an integrated service that means registration of the entity in the relevant register, as well as:

• Registration of the entity as a taxpayer in the Public Revenue Office;
• Reservation of a bank account in a bank of your choice.

 Furthermore, if it is appropriate to the selected type of entity and its form, the submitter may choose whether he / she wants within the same procedure to:

• Submit an application to the Public Revenue Office for voluntary registration of the entity as a VAT payer;
• Submit an application to the Employment Service Agency of the Republic of North Macedonia in order to register the first employees for the entity.

 Prior to submit an application for incorporation, it is preferable to check and reserve the desired name of the entity using the "Legal entity name check and reservation" service.

For further information about the most common types of entities and the manner of submission, please select the type of entity you are interested in from the list below. Additionally, the Central Registry may conduct registration to other legal entities as well. This includes:

• The following entities cannot submit an application for registration through a Registration Agent, but they are part of the instructions intended for other users.
  • Associations;
  • Foundation;
  • Subsidiaries of the foreign company;
  • Community of Owners;
  • Institution;
• Entities that are established under other basic registries, for which the Central Registry provides data. For any additional information, please contact the institution responsible for the basic registry for the specific purpose:
  • Notaries;
  • Lawyers;
  • Executives;
  • Artisans;
  • Farmers;
  • Private employment agencies;
  • Employment mediation services in the country and abroad;
  • Trade Unions;
  • Political Parties;
  • Church, Religious Community, Religious Group;
  • Chambers;
  • Others
• Entities established by a state / municipal institution or by special regulation, including:
  • Public Enterprise;
  • State institution;
  • Entity established by a special regulation
• Other entities that are subject to registration
  • Limited Partnership or the abbreviation (KD);
  • Limited Partnership with stocks or the abbreviation(KDA)
  • Public Trade Company;
  • Economic Interest Community or the abbreviation(SIZ);
  • Chamber;
  • Co-operative

• Application for entry of the incorporation of an entity in the Trade Registry and the Registry of Other Legal Entities-or the abbreviation PO form
